These Terms and Conditions (Terms) form a binding legal agreement between you and Pariflow governing all access to and use of our websites, apps, APIs, market interfaces, and related services (collectively, the Service). By using the Service in any manner, you accept these Terms and agree to comply with all incorporated legal documents.
1. Incorporated legal documents
The following documents are incorporated by reference and are part of these Terms. In case of conflict, the more specific document for the relevant issue controls.

Any account-specific legal addendum, onboarding disclosure statement, or product supplement expressly accepted by you takes precedence over these general Terms to the extent of direct conflict.
2. Binding effect and electronic consent
If you do not agree to all Terms, you must not use the Service. You consent to electronic delivery of notices, statements, disclosures, records, and communications. You agree that electronic acceptance, records, and signatures are valid and enforceable to the fullest extent permitted by law.
3. Eligibility, capacity, and authority
- You are at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
- You have full legal capacity to enter into these Terms.
- If using the Service on behalf of an entity, you are authorized to bind that entity.
- You are solely responsible for determining whether your use is lawful where you are located.
4. Jurisdiction restrictions and sanctions controls
Access may be restricted or prohibited based on law, regulation, sanctions, licensing scope, or Pariflow policy. You represent that you are not a prohibited person and are not using the Service for or on behalf of one. Attempts to evade restrictions (including VPN, proxy, anonymization, routing, account layering, or synthetic identity techniques) are prohibited.
5. KYC, AML, source-of-funds, and enhanced due diligence
You must provide truthful, complete, and current verification information. Pariflow may request additional identity documents, beneficial ownership details, source-of-funds/source- of-wealth evidence, transaction purpose explanations, or any other information required for compliance. Refusal, delay, or inconsistencies may result in account limitations, freezes, close-only mode, delayed withdrawals, or termination.
6. Account, API key, and wallet responsibility
You are solely responsible for credential security, device integrity, private key security, API key management, and all actions through your account or connected wallets. All actions authenticated via your credentials are deemed authorized by you unless mandatory law states otherwise. You must immediately report compromise or suspicious activity.
7. Service role and no agency
Except where expressly stated in writing for a specific product, Pariflow is not your broker, fiduciary, investment adviser, tax adviser, legal adviser, or agent. No fiduciary duty is created by use of the Service. You act as principal for your own account and risk.
8. Market data and pricing disclaimers
Quotes, probabilities, prices, depth, and market indicators are informational and may be delayed, stale, incomplete, or inaccurate. Displayed data does not guarantee executable liquidity or fill prices. You are responsible for independent verification before submitting orders.
9. Orders, matching, and execution priority
Order acceptance, matching, cancellation, and execution are subject to market state, risk/compliance checks, technical controls, and system availability. Pariflow may apply queue priority, throttling, anti-manipulation controls, or execution safeguards in its sole discretion.
10. Execution corrections, busted trades, and reversals
Pariflow may void, amend, bust, reverse, or rebook transactions and balances for manifest error, system malfunction, stale feed execution, exploit-driven activity, duplicate processing, abusive strategy, settlement misallocation, or compliance incidents, as detailed in the Execution & Error Trade Policy.
11. Market halts, close-only mode, and emergency controls
Pariflow may halt markets, disable order types, reject new exposure, enforce close-only trading, cancel resting orders, suspend funding/withdrawal actions, or apply other emergency controls to preserve market integrity or comply with law.
12. Event resolution and settlement finality
Event outcomes are determined according to applicable Market Rules and designated sources. Ambiguity, source revisions, publication delays, or disputes may affect timing and outcome processing. Subject to mandatory law and explicit correction rights, finalized resolution and settlement determinations are conclusive and binding.
13. Fees, charges, and taxes
You agree to pay all applicable fees, commissions, spreads, network costs, banking rails, and third-party processing charges. You are solely responsible for tax treatment, reporting, filing, withholding, and payment obligations associated with your activity.
14. Funding, withdrawals, and payout controls
Funding and withdrawals may be delayed, limited, rejected, or reversed for compliance, fraud, sanctions, operational, reconciliation, or legal reasons. Posted credits may remain subject to verification, clawback, chargeback handling, and legal hold processing.
15. Prohibited conduct
- Fraud, manipulation, collusion, wash trading, spoofing, deceptive signaling, or abusive automation.
- Attempted sanctions evasion, money laundering, terrorist financing, or illicit source-of-funds use.
- Unauthorized penetration testing, scraping abuse, reverse engineering, exploit attempts, or bypassing controls.
- Use of Service in violation of law, regulation, court order, or third-party rights.
16. Investigations and regulatory cooperation
Pariflow may monitor, investigate, preserve, and disclose information to regulators, law enforcement, counterparties, or courts where required or reasonably necessary for security, compliance, fraud prevention, dispute handling, or legal defense.
17. Suspension and termination rights
Pariflow may refuse service, suspend access, freeze accounts, close accounts, or terminate products at any time, with or without notice, to protect platform integrity, users, counterparties, and compliance posture.
18. Recordkeeping and audit rights
Pariflow may maintain activity logs, communications, and transaction records for legal, compliance, accounting, and security purposes. You agree to reasonably cooperate with compliance or audit requests related to your account and activity.
19. Intellectual property and user license
Pariflow and its licensors own all Service intellectual property. For lawful content you submit, you grant Pariflow a worldwide, non-exclusive, royalty-free license to host, process, reproduce, adapt, and display the content for operation, compliance, security, dispute management, and improvement of the Service.
20. Feedback and suggestions
Any feedback, suggestions, or ideas you provide may be used by Pariflow without confidentiality restriction, attribution requirement, or compensation.
21. Third-party services and dependency risk
The Service may depend on third-party providers (wallets, custodians, banks, data feeds, cloud, blockchain, observability, and communication services). Pariflow does not control these providers and is not liable for their outages, insolvency, policy changes, delays, or security failures.
22. Beta and experimental features
Beta, experimental, or limited-release features may be unavailable, unstable, modified, or discontinued without notice. These features are provided with elevated risk and without additional warranty.
23. No investment, legal, or tax advice
Nothing in the Service is investment, legal, tax, accounting, or suitability advice. You must obtain independent professional advice before making financial or legal decisions.
24. Warranty disclaimer
To the fullest extent permitted by law, the Service is provided on an as-is and as-available basis, without warranties of any kind, express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, continuity, availability, accuracy, or error-free operation.
25. Limitation of liability
To the fullest extent permitted by law, Pariflow and its affiliates, officers, directors, employees, contractors, licensors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, opportunity, goodwill, data, or digital assets. Aggregate liability for all claims will not exceed the lesser of (a) total fees paid by you to Pariflow in the 12 months before the event giving rise to the claim and (b) USD 100.
26. Indemnification
You will defend, indemnify, and hold harmless Pariflow and its affiliates against claims, liabilities, losses, damages, penalties, and expenses (including reasonable legal fees) arising from your use of the Service, breach of Terms, violation of law, infringement of third-party rights, or acts through your account or connected systems.
27. Force majeure
Pariflow is not liable for delays, outages, or failures caused by events beyond reasonable control, including internet outages, cloud failures, validator/oracle incidents, telecommunications failures, cyberattacks, labor disputes, government actions, sanctions changes, war, terrorism, civil unrest, or natural disasters.
28. Governing law and court forum
Unless mandatory law requires otherwise, these Terms are governed by the laws of the contracting Pariflow legal entity identified in the Regulatory Disclosures page or your account-specific legal addendum, excluding conflict-of-laws rules. Subject to arbitration requirements below, exclusive court venue is the court forum identified in those same disclosures.
29. Mandatory pre-dispute process and arbitration
Before filing a claim, parties must first provide written dispute notice and attempt good- faith resolution for at least 45 days. If unresolved, disputes shall be finally resolved by binding individual arbitration before one arbitrator under the rules, seat, and language specified in the Regulatory Disclosures page or your account-specific legal addendum, except for claims that mandatory law reserves for courts.
30. Class action and jury waiver
You and Pariflow waive any right to trial by jury and any right to participate in a class, collective, consolidated, mass, representative, or private-attorney-general action or arbitration. Claims must be brought only on an individual basis.
31. Limitation period for claims
To the extent permitted by law, any claim relating to the Service must be commenced within one (1) year after the claim arises or it is permanently barred.
32. Amendments and continued use
Pariflow may update these Terms and incorporated documents at any time by posting updated versions. Unless a later effective date is stated, updates apply on posting. Continued use after updates constitutes acceptance.
33. Severability, waiver, assignment, and survival
If any provision is unenforceable, remaining provisions remain in effect and are construed to preserve original intent where possible. Failure to enforce any right is not a waiver. You may not assign rights without Pariflow consent. Provisions that by nature survive termination will survive, including compliance, dispute, indemnity, and liability terms.
34. Entire agreement
These Terms and incorporated legal documents constitute the entire agreement between you and Pariflow concerning the Service and supersede prior statements or understandings on the same subject matter.
